10 Winding up

a. If the members resolve to dissolve the charity the Trustees will remain as Charity Trustees and will be responsible for winding up the affairs of the charity in accordance with this clause.

b. The Trustees must collect in all the assets of the charity and must pay or make provision for all the liabilities of the charity.

c. The Trustees must apply any remaining property or money:

(1) directly for the Purpose of the charity (Para 2 of this Constitution);

(2) by transfer to any charity or charities for purposes the same as or similar to the Charity;

(3) in such manner as the Charity Commission for England and Wales (“the Commission”) may approve in writing in advance.

d. The members may pass a resolution before or at the same time as the resolution to dissolve the charity specifying the manner in which the Trustees are to apply the remaining property or assets of the charity and the Trustees must comply with the resolution if it is consistent with paras (1) to (3) inclusive in sub-clause c above.

e. In no circumstances shall the net assets of the charity be paid to or distributed among the members of the charity (except to a member that is itself a charity).

f. The Trustees must notify the Commission promptly that the charity has been dissolved. If the Trustees are obliged to send the charity’s accounts to the Commission for the accounting period which ended before its dissolution, they must send the Commission the charity’s final accounts.

Changes to the Constitution can be made at any General Meeting. No change can be made that would make the organisation no longer a charity.

a. General Meeting – can be called on written request from at least 10 members.

b. The Management Committee may also call a General Meeting to consult the membership

As a courtesy all major decisions taken by the Fund Management Committee (Trustees) will be referred for comment / feedback to the executive committees of the four sponsoring ex- apprentice associations. These are the Beachley Old Boys’ Association (Chepstow), the Arborfield Old Boys’ Association (Arborfield), the Association of Harrogate Apprentices (Harrogate) and Hadrian’s Old Boys (Carlisle).

a. This Constitution and Rules were adopted on 9th December 2009 by the members of the Management Committee whose signatures appear below. They are the first members of the charity and will be the trustees.

b. The Constitution and Rules were amended at a General Meeting on 7th September 2010.
