THE ARMY APPRENTICE NATIONAL ASSOCIATION
& MEMORIAL RULES

The Rules were adopted on the 1st March 2020

1 NAME
The name of the organisation is: The Army Apprentice National Association &Memorial (AANA&M).


2 THE PURPOSES OF THE ASSOCIATION

a.The purpose of the Association is to re-unite, promote and foster Esprit-de-Corps and well-being to those who have been associated with the Army Apprentices. It aims to keep those who served in or with the Army Apprentices in touch with one another with a view to keeping alive a spirit of comradeship and service.

b.To hold an annual Drumhead Service at the Army Apprentice Memorial in the National Memorial Arboretum (NMA).


.3 MANAGEMENT
The Association shall be managed by a Management Committee which will be appointed at the Annual General Meeting (AGM).


4 CARRYING OUT THE PURPOSE
In order to carry out the purposes, the committee has the power to:
a.Raise funds, receive grants and donations.
b.Apply money to carry out the purpose of the fund.
c.Do anything which is lawful and necessary to achieve the purposes.


5 MEMBERSHIP
a.The Association shall have a membership. All former Army Apprentices, Permanent Staff members, civilian instructors and ex-NAAFI Staff are deemed to be members of the Association.
b.The Management Committee may remove a person’s membership if they believe it is in the best interests of the Association. The member has the right to be heard by the Management Committee before the decision is made and may be accompanied by a friend.
c.There will not be any membership fees, however, should circumstances dictate, membership fees may be introduced in the future.


6 ANNUAL GENERAL MEETING – AGM

a.The AGM must be held every year. Members will receive notification of the AGM and its agenda with at least 14 days’ notice via the website and by the individual Army Apprentice associations via their websites and publications.
b.Minutes of the AGM must be kept.
c.There must be at least 4 members present at the AGM.
d.Every member has one vote. Decisions will require a majority. The Chairman has a casting vote.
e.The Management Committee will present an annual report and accounts.
f.Members shall elect between 3 and 8 Management Committee members to serve for the next year. They will retire at the next AGM but may stand for re-election.
g.Any member may stand for election as a Management Committee member.


7 MANAGEMENT COMMITTEE MEETINGS
a.The Management Committee may hold meetings as required. A Chairman, Secretary and Treasurer will be elected at the AGM. The Management Committee may act by majority decision.
b.At least 3 Management Committee members must be present at any meeting to be able to make decisions. Minutes shall be kept for every meeting.
c.If Committee members have a conflict of interest they must declare it and leave the meeting while the matter is being discussed or decided.
d.During the year the Management Committee may co-opt up to 2 additional members. They will stand down at the next AGM.
e.The Management Committee may make reasonable additional rules to help run the Association. These rules must not conflict with the existing rules or the law.


8 MONEY AND PROPERTY
a.Money and property must only be used for the Association’s purposes.
b.The Management Committee must keep records. The most recent annual accounts can be seen by members on request.
c.The Management Committee and Association members will not be recompensed for any “out of pocket “expenses when carrying out Association duties.d.Money must be held in the Association’s bank account: Army Apprentice National Association & Memorial (AANA&M)
e.The bank account will be on-line and controlled by the Treasurer:
1.The Treasurer alone can make payments up to a monetary amount of £300
2.The Treasurer will require the agreement of the Chairman for amounts over £300
f.The accounting period for the Association accounts will be from 1st January to the
31st December annually.


9 GENERAL MEETINGS

a.If the Management Committee consider it necessary to change the rules or wind up the Association, they must call a General Meeting so that the membership can make the decision.
b.The Management Committee must also call a General Meeting if they receive a written request from at least 10 members.
c.All members must be given 14 days’ notice via the association’s website and told the reason for the meeting.
d.All decisions require many attendees.
e.Minutes must be kept.


10 WINDING UP
a.If the members resolve to dissolve the Association the Management Committee will be responsible for winding up the affairs of the Association in accordance with this clause.
b.The Management Committee must collect all the assets of the Association and must pay or make provision for all the liabilities of the Association.
c.The Management Committee must distribute any remaining property and/or money in equal shares to

1.Beachley Old Boys’s Association (Chepstow), the Arborfield Old Boys’ Association (Arborfield), the Association of Harrogate Apprentices (Harrogate) and Hadrian’s Old Boys (Carlisle).
OR
2.Whichever of the 4 associations are still in existence.
OR
3.The Army Benevolent Fund if the 4 Associations no longer exist.


11 CHANGES TO THE RULES

Changes to the rules can be made at any General Meeting.
a.General Meeting can be called on written request from at least 10 members.
b.The Management Committee may also call a General Meeting to consult the membership.
